SignLucid Terms of Service
Effective date: October 15, 2026 · Version 2026-10-15.3
These Terms of Service ("Terms") are an agreement between SignLucid ("SignLucid", "we", "us") and the firm or organization that creates a SignLucid account ("Customer", "you"). The person who accepts these Terms on Customer's behalf confirms they have authority to do so.
1.1 SignLucid is an online service for preparing documents for electronic signature, sending them to signers, collecting signatures, and producing a signed copy with a certificate of completion (the "Service"). It includes the website at signlucid.com, the sender application, and the signing pages.
1.2 Not legal or tax advice. SignLucid is a software tool. We do not give legal, tax or accounting advice, and we do not decide whether a document may be signed electronically or whether a signature meets the requirements of any law, agency or court.
1.3 Automated features. Automatic field placement, form recognition, remembered layouts and optional AI summaries are aids. They can be wrong. Customer is responsible for checking field placement, signer assignment and document content before sending. An AI summary is not part of the document and is not advice.
2.1 Customer must give accurate account information and keep it current.
2.2 Customer is responsible for all activity under its account, including by its team members ("Authorized Users"). Each Authorized User must have their own login. Keep passwords confidential and turn on two-step sign-in when it is available.
2.3 Tell us promptly at support@signlucid.com if you suspect unauthorized access.
3.1 A free trial lasts one month (30 days) unless we agree otherwise in writing (for example, firms invited to our early-access program use the Service free until April 30, 2027). No payment card is required, and we never charge automatically when a trial ends. When the trial ends, the account moves to the Free plan: Customer can send up to 3 envelopes per calendar month, and all documents already sent, completed documents and other data are kept. Customer can choose a paid plan at any time.
3.2 Paid plans are billed in advance, monthly or annually, and renew automatically until cancelled. Plan features and user limits are described on the pricing page at the time of purchase. Before each billing period we e-mail Customer an invoice, payable within 15 days by PayPal, Venmo, Zelle or check, or, once available, by card or bank debit through our payment processor (which then charges automatically). If a payment is late or fails, we will notify Customer and allow 7 more days; after that, the account moves to the Free plan as in Section 3.1 until payment is made, and no data is deleted. Refunds, where allowed, are made by the original payment method or, if that is not possible, by bank transfer or check.
3.3 We may change prices with at least 30 days' notice. Changes apply from the next renewal.
3.4 Fees are exclusive of taxes. Per-use charges (for example, identity verification) are billed as described when the feature is offered.
3.5 Refunds. Monthly plans: no refund for the current month; cancellation takes effect at the end of that month. Annual plans: if Customer cancels within 30 days after the first payment or a renewal payment, we refund the unused whole months; after 30 days, the plan stays active until the end of the paid year and is not refunded.
3.6 Fair use. "Unlimited" envelopes means unlimited for Customer's normal business with its own clients. It does not cover bulk or marketing mailings, sending on behalf of other businesses, or automated high-volume sending by script or integration. If Customer's use is far above that of similar firms or affects the Service for others, we will contact Customer first to agree on a suitable plan (such as a white-label or API agreement). Envelopes already sent will still be completed.
4.1 "Customer Data" means documents, signer names and contact details, field values, signatures, and other information that Customer or its signers submit to the Service, and the signed copies and records the Service produces from them.
4.2 Customer keeps all rights in Customer Data. Customer grants SignLucid a limited right to host, copy, process, transmit and display Customer Data only to provide, secure and support the Service for Customer, as described in the Data Processing and Tax Return Information Addendum at signlucid.com/dpa (the "Addendum"), which is part of these Terms.
4.3 Customer confirms it has the right to upload Customer Data and to send it to the signers it chooses.
4A.1 The Service lets Customer create invoices for its own clients, ask a client to sign or approve an invoice, show the client Customer's payment instructions, and let the client upload proof of payment.
4A.2 Customer is responsible for the accuracy of its invoices and payment instructions, for confirming payments, and for taxes, refunds and disputes with its clients, and for any rules that apply to its fees and billing.
4A.3 Invoices, payment instructions, approvals and proofs of payment that Customer's clients upload are Customer Data. Customer should tell its clients not to upload full card or bank account numbers.
5.1 Choosing documents. Customer decides whether a document may be signed electronically. Some documents may not be (for example, wills, certain family-law and court documents, and certain notices listed in 15 U.S.C. §7003 and state law). Government agencies may set their own rules for forms filed with them.
5.2 Consumer disclosures and consent. Where a law requires information to be given to a consumer in writing, Customer is the party providing the record and is responsible for obtaining the consumer's consent under 15 U.S.C. §7001(c) and applicable state law. The Service shows a default Electronic Record and Signature Disclosure and records each signer's consent; Customer is responsible for keeping its contact details in the Service accurate and for honoring requests for paper copies and withdrawals of consent.
5.3 Identity verification. Customer chooses how signers are verified. For IRS Forms 8879 and 8878 signed remotely, IRS Publication 1345 requires identity verification such as knowledge-based authentication; for Forms 2848 and 8821, IRS rules on electronic signatures and identity verification apply. Until SignLucid offers a verification method that meets those rules, Customer must not rely on the Service alone for remote electronic signatures on those forms. A private signing link or access code is not, by itself, identity verification under those rules.
5.4 Records Customer must keep. Customer is responsible for keeping the records it is required to keep (for example, Forms 8879 and 8878 for three years under Publication 1345) for the full period required. The Service lets Customer download and export signed copies. Customer should keep its own copy. See Section 11 for how long we store data.
5.5 Filing. The Service does not transmit tax returns or forms to the IRS or any agency.
If Customer is a tax return preparer, Customer Data may include tax return information protected by 26 U.S.C. §7216 and its regulations. SignLucid will use and disclose that information only to provide the Service to Customer and as the Addendum allows, and never to sell it, to market to signers, or to train artificial-intelligence models.
Customer will not, and will not let others: (a) use the Service for unlawful, fraudulent or deceptive purposes, including impersonating anyone or obtaining a signature by deception; (b) send unsolicited bulk messages through the Service; (c) upload malware or content that infringes others' rights; (d) attempt to access other customers' data, probe or overload the Service, or bypass its security or plan limits; (e) resell the Service except under a separate written agreement with us; or (f) upload protected health information subject to HIPAA unless Customer and SignLucid have signed a business associate agreement. SignLucid does not currently offer one.
Signers are not parties to these Terms. A signer's use of a signing page is governed by the Signer Notice shown on that page and the Electronic Record and Signature Disclosure. Signers who have questions about a document should contact the sender. We will forward signer requests about Customer Data to Customer.
9.1 We maintain administrative, technical and physical safeguards appropriate to the sensitivity of Customer Data, as described in the Addendum.
9.2 If we confirm a security incident affecting Customer Data, we will notify Customer as described in the Addendum.
9.3 Each party will keep the other's non-public business information confidential and use it only for this agreement.
The Service uses third-party providers (for example, hosting, e-mail delivery, payment processing and, when enabled, identity verification and AI summaries). The current list is in the Addendum. Optional features provided with a third party are used only when Customer turns them on.
11.1 While Customer's account is active, we store completed envelopes, and Customer can download or export them at any time.
11.2 After the account ends, Customer has 30 days to export its data. We then delete Customer Data from the live system within 60 days and from backups as they expire, no later than 12 months after that, unless the law requires us to keep it.
11.3 Public demo documents are deleted after one day.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY SIGNATURE OR DOCUMENT WILL BE ACCEPTED BY ANY COURT, AGENCY OR OTHER PARTY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE EXTENT THE LAW ALLOWS: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE; AND (b) EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES CUSTOMER PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITS DO NOT APPLY TO CUSTOMER'S PAYMENT OBLIGATIONS, A PARTY'S INDEMNITY OBLIGATIONS, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
Customer will defend and indemnify SignLucid against third-party claims arising from Customer Data, Customer's choice of documents or signers, or Customer's breach of Sections 5 or 7. SignLucid will defend and indemnify Customer against third-party claims that the Service, as provided by us, infringes a U.S. intellectual-property right.
15.1 These Terms apply while Customer has an account.
15.2 Customer may cancel at any time; cancellation takes effect at the end of the paid period.
15.3 We may suspend access to protect the Service or others, or for non-payment, after notice where practical. We may end these Terms for material breach not cured within 15 days of notice.
15.4 Sections 4, 6, 11–14 and 17 survive termination.
We may update these Terms. For material changes we will give at least 30 days' notice by e-mail or in the Service. Continued use after the effective date means acceptance.
These Terms are governed by the laws of the State of North Carolina and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute will be heard in the state or federal courts located in North Carolina.
These Terms, the Addendum and any order form are the whole agreement on this subject. If a provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without the other's consent, except to a successor of its business that agrees to be bound, including the Addendum. Notices to us: support@signlucid.com.
